This particular Private Equity client has an appealing and somewhat unique investment structure that combines the best of a traditional recapitalization with a minority equity investment. In their model, owners will realize up to 80% of their value at closing but still retain up to 50% of the equity. Furthermore, owners retain control of the business’ Board of Directors and thus their own destiny. In short, this firm is focused more on partnership than ownership. Historically, this approach has proven quite successful, as they have invested over $500 million across a variety of industries. They currently have significant capital targeted for investments in the healthcare sector.
Industry Sector:
While this investor is open to many sectors within the Healthcare Industry, they have identified three areas of particular interest.
· Outsourcing plays such as testing laboratories.
· Manufacturers of consumable products such as needles or masks, etc.
· Eating disorders or substance abuse centers.
Financial characteristics:
- A minimum of $4M EBITDA.
Additional Requirements:
- Company headquarters should be in the United States.
Management:
The ideal company would be privately held with a preference for family owned and operated company with no current outside investors.
The owner / manager is looking for a liquidity event to take some risk off the table.
The owner is seeking to partner with an investor group to provide capital and operational resources to help the business achieve sustainable future growth.
